Item 4. Ownership.

(a) – (c)

As of the date hereof, Jack Silver does not beneficially own any ordinary shares of China Cablecom Holdings, Ltd.

As of February 26, 2010, Jack Silver beneficially owned 626,381 ordinary shares of China Cablecom Holdings, Ltd. representing 6.1% of the outstanding Ordinary Shares, based on 9,677,131 shares of ordinary shares outstanding, as reported in the issuer’s Form 6-K filed with the Securities and Exchange Commission on January 6, 2010. Such shares beneficially owned by Mr. Silver included 626,381 shares issuable upon exercise of warrants held by Sherleigh Associates Inc. Profit Sharing Plan, a trust of which Mr. Silver is the trustee.

Mr. Silver had the sole voting and dispositive power with respect to all 626,381 ordinary shares beneficially owned by him.

The numbers above do not reflect the 1:3 reverse share split which occurred in March 2010.
